As the deadline for submitting the compliance report and the independent auditor’s report to the Ministry of Digital Transformation approaches, the CEO brings in independent auditors, expecting a quick, formal review. After all, the accountant confidently reported that “the documents are ready.”

2. Clash with reality: What the audit brings to the surface

An independent audit is not just a review of bank statements. It is a deep verification of every single digit. As soon as specialized auditors begin analyzing source documents, an avalanche of chaos begins:

  • The average compensation criterion (€1,200) “floats”: the outsourcer simply did not know which specific payments (for example, certain types of compensations or specific sick leaves) are legally barred from being included in this calculation. The result—the actual figure falls short of the limit.

  • Blurred 80% of revenue from IT activities: the accountant did not maintain a clear separation of inflows by permitted types of activities. It only took running one related (non-core) service to the wrong category—and a ironclad requirement of Diia City was failed.

  • Chaos in documentation: HR records are not maintained; there are no corporate orders, timesheets, payroll ledgers, or staffing tables; source documents confirming revenue are either missing or improperly executed.

  • Incorrectly calculated and paid taxes.

  • Lack of analytical ledgers: instead of detailed accounting, there are only “general figures,” which make it impossible to perform an audit sample.

3. The climax: It is too late to put out the fire

The auditors’ verdict is unequivocal: “We cannot issue a positive opinion. The figures do not match, source documentation is missing, and the accounting must be reconstructed from scratch for the past six months.”Management runs to their outsourcer, but they just shrug their shoulders: “Well, we have always done it this way for other sole proprietors, and no one ever complained…”. Loss of transparency: the most painful part is that the company must change and rebuild what should have been working like clockwork from the very beginning, or completely alter its development strategy. You have to spend time and resources not on projects, but on putting your accounting in order. For you, credit facilities, attractive investors, and expansion into global markets are now closed, and it generally becomes difficult to find clients who want to work with a chaotic company. Finance requires a clear system and reporting. You are now a potential target for the tax authorities, and you are naturally not ready for government audits.

The moral: do not trust surgery to amateurs

The Diia City regime is the major league of business. Playing in it by the rules of ordinary “sole proprietor support” is suicide. A standard accountant is simply not required to know the intricacies of transfer pricing (TP), the specific nuances of GIG-contracts, and the compliance criteria of the Ministry of Digital Transformation.

Saving on qualified support always ends up costing ten times more. Do not wait for an audit to catch you off guard.
