This activity must be specified in the company&#8217;s Charter and the Unified State Register (USR).<\/span><\/li>\n<li data-path-to-node=\"5,1,0\"><span style=\"color: #000000;\"><strong>Qualified Income:<\/strong> For the first 3 months after acquiring resident status and every year thereafter, at least <strong>90%<\/strong> of the company&#8217;s revenue must come from permitted IT activities.<\/span><\/li>\n<li data-path-to-node=\"5,2,0\"><span style=\"color: #000000;\"><strong>Company Age:<\/strong> State registration of the company must have occurred no earlier than <strong>24 calendar months<\/strong> prior to the date of application for Diia City residency.<\/span><\/li>\n<li data-path-to-node=\"5,3,0\"><span style=\"color: #000000;\"><strong>Income Limit: <\/strong>The company&#8217;s annual income must not exceed a certain limit (<strong>1,167 minimum wages<\/strong> set as of January 1 of the reporting year) <i data-path-to-node=\"5,3,1,0,0\" data-index-in-node=\"0\">For 2025, this limit is <strong>UAH 9,336,000<\/strong><\/i><strong>.<\/strong><\/span>\n<p data-path-to-node=\"6\"><span style=\"color: #000000;\">This limit applies to each of the following years:<\/span><\/p>\n<ol start=\"1\" data-path-to-node=\"7\">\n<li>\n<p data-path-to-node=\"7,0,0\"><span style=\"color: #000000;\">The calendar year preceding the year the company applied for Diia City residency.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"7,1,0\"><span style=\"color: #000000;\">The calendar year in which the company applied for residency.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"7,2,0\"><span style=\"color: #000000;\">The calendar year in which the company acquired residency.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"7,3,0\"><span style=\"color: #000000;\">The calendar year following the year the company acquired residency.<\/span><\/p>\n<\/li>\n<\/ol>\n<\/li>\n<\/ul>\n<\/div>\n<\/div>\n<div style=\"display: flex; align-items: center; margin: 30px 0; font-family: Arial, sans-serif; border: 1px solid #d1d3d4; border-radius: 8px; background-color: transparent; padding: 20px;\">\n<div style=\"color: #246a9d; min-width: 40px; display: flex; align-items: center; justify-content: center; font-size: 80px; font-weight: bold; margin-right: 15px;\">!<\/div>\n<div style=\"flex-grow: 1;\">\n<p style=\"margin: 0; color: #333; line-height: 1.5;\"><span style=\"color: #000000;\"><strong>Important Note<\/strong>:This indicator determines whether a company can maintain its startup status during the transition period. If a company&#8217;s income exceeds the limit, <strong>it loses the right to be considered a &#8220;startup&#8221; in Diia City.<\/strong><\/span><\/p>\n<\/div>\n<\/div>\n<p data-path-to-node=\"2\"><span style=\"color: #000000;\">The transition to the general business taxation system is significantly more expensive. Therefore, regular income monitoring is, in fact, a control over the right to remain not only a &#8220;startup&#8221; but also a Diia City resident.<\/span><\/p>\n<p data-path-to-node=\"3\"><span style=\"color: #000000;\">Practical Example: A company was officially registered in the Diia City register in March 2025. Over the following months, its income was as follows:<\/span><\/p>\n<ul data-path-to-node=\"4\">\n<li>\n<p data-path-to-node=\"4,0,0\"><span style=\"color: #000000;\">April 2025: UAH 1,500,000.00<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"4,1,0\"><span style=\"color: #000000;\">May 2025: UAH 2,500,000.00<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"4,2,0\"><span style=\"color: #000000;\">June 2025: UAH 3,000,000.00<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"4,3,0\"><span style=\"color: #000000;\">July 2025: UAH 3,500,000.00<\/span><\/p>\n<\/li>\n<\/ul>\n<p data-path-to-node=\"5\"><span style=\"color: #000000;\">The total income for this period (April\u2013July 2025) reached UAH 10,500,000.00.<\/span><\/p>\n<p data-path-to-node=\"6\"><span style=\"color: #000000;\">Since the legislative income limit for maintaining startup status (which is UAH 9,336,000 for 2025) was exceeded specifically in July 2025, the company loses its &#8220;startup&#8221; status starting from that month. Consequently, it becomes obligated to fulfill all standard Diia City residency criteria as prescribed by Law No. 1667-IX.<\/span><\/p>\n<div class=\"tcu-risks-article\">\n<h2 id=\"criteria\" style=\"color: #246a9d; border-bottom: 2px solid #246a9d; padding-bottom: 10px; margin-top: 40px;\">Income Criteria and Restrictions<\/h2>\n<\/div>\n<div style=\"background-color: #f4f4f4; border-left: 5px solid #246a9d; padding: 15px; margin: 20px 0;\">\n<p><span style=\"color: #000000;\"><strong>Recommendations for Income Control:<\/strong><\/span><\/p>\n<ul data-path-to-node=\"4\">\n<li>\n<p data-path-to-node=\"4,0,0\"><span style=\"color: #000000;\">Monthly Monitoring: Maintain a monthly income tracker with a forecast until the end of the year.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"4,1,0\"><span style=\"color: #000000;\">Rapid Growth Strategy: Prepare in advance for the transition from &#8220;startup&#8221; mode to &#8220;standard&#8221; Diia City residency if your business is scaling quickly.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"4,2,0\"><span style=\"color: #000000;\">Contract Planning: Plan large contracts carefully, taking into account the maximum income threshold.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"4,3,0\"><span style=\"color: #000000;\">Compliance Checks: Conduct periodic audits of residency criteria together with a professional accountant or legal advisor.<\/span><\/p>\n<\/li>\n<\/ul>\n<\/div>\n<ul>\n<li><span style=\"color: #000000;\"><strong>Legal Point:<\/strong> The application for residency must explicitly state that the Company is applying as a &#8220;startup resident&#8221; in accordance with <a href=\"https:\/\/zakon.rada.gov.ua\/laws\/show\/1667-20#n69\" target=\"_blank\" rel=\"noopener\">Part 3<\/a> of Article 5 of Law No. 1667-IX.<b>\u00a0<\/b><\/span><\/li>\n<li data-path-to-node=\"8\"><span style=\"color: #000000;\"><strong>Anti-Criteria (Disqualifying Factors)<\/strong> A company cannot be a Diia City resident if any circumstances listed in Part 2 of Article 5 of Law No. 1667-IX apply, specifically:<\/span>\n<ul data-path-to-node=\"9\">\n<li>\n<p data-path-to-node=\"9,0,0\"><span style=\"color: #000000;\">Aggressor State Ties: Connections with an aggressor state or sanctioned persons.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"9,1,0\"><span style=\"color: #000000;\">Non-Profit\/Foreign Entity: The company is non-profit or registered outside of Ukraine.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"9,2,0\"><span style=\"color: #000000;\">Tax Debt: Significant tax debt exceeding 10 minimum wages for more than 30 days.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"9,3,0\"><span style=\"color: #000000;\">Beneficial Ownership: Failure to disclose ultimate beneficial owners (UBOs).<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"9,4,0\"><span style=\"color: #000000;\">Liquidation: The company is in the process of liquidation or bankruptcy.<\/span><\/p>\n<\/li>\n<li>\n<p data-path-to-node=\"9,5,0\"><span style=\"color: #000000;\">State\/Municipal Stake: Legal entities with a state or municipal share of 25% or more in the authorized capital.<\/span><\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li><span style=\"color: #000000;\"><strong>Validity Period<\/strong> The &#8220;startup resident&#8221; status is valid until the end of the next calendar year after it was obtained.<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #000000;\">Example: If a Company received the status in 2025, it remains valid until December 31, 2026.<\/span><\/p>\n<p><span style=\"color: #000000;\">Exemptions for Startups During the Grace Period<\/span><br \/>\n<span style=\"color: #000000;\">Law No. 1667-IX provides startups with significant relaxations regarding residency criteria during the grace period:<\/span><\/p>\n<ul>\n<li><span style=\"color: #000000;\"><strong>Remuneration Level:<\/strong> The average monthly remuneration for employees and GIG-specialists may be less than the equivalent of \u20ac1,200.<\/span><\/li>\n<\/ul>\n<p><span style=\"color: #000000;\">Note: In this case, the standard PIT rate of 18% applies instead of the 5% incentive rate.<\/span><\/p>\n<p><span style=\"color: #000000;\">Staff Count: The average number of employees and GIG-specialists may be fewer than nine persons.<\/span><\/p>\n<div style=\"border: 2px solid #246a9d; padding: 25px; margin: 30px 0; background-color: #fff;\">\n<p>\u00a0<span style=\"color: #000000;\"><strong>Note<\/strong>: A startup must achieve full compliance with all general residency criteria by the end of the next calendar year after acquiring its status. If the company fails to meet the requirements regarding the minimum number of specialists (9+) and the minimum remuneration level (\u20ac1,200 equivalent) after the grace period ends, <strong>it will automatically lose its Diia City resident status.<\/strong><\/span><\/p>\n<\/div>\n<h2 id=\"taxes\" style=\"color: #246a9d; border-bottom: 2px solid #246a9d; padding-bottom: 10px; margin-top: 40px;\">Tax Benefits for Startups<\/h2>\n<p><span style=\"color: #000000;\">Startups enjoy the same preferential tax conditions as other Diia City residents.\u00a0 This significantly reduces the overall tax burden and allows for more reinvestment into product development:<\/span><\/p>\n<div style=\"overflow-x: auto; padding: 15px; margin: 20px 0;\">\n<p><span style=\"color: #000000;\"><strong>Tax Incentives for Startups:<\/strong> Updated 2025 Regulations<\/span><br \/>\n<span style=\"color: #000000;\">Based on the recent legislative updates<\/span> (<a href=\"https:\/\/zakon.rada.gov.ua\/laws\/show\/4113-20#Text\" target=\"_blank\" rel=\"noopener\">Law of Ukraine No. 4113-IX dated Dec 4, 2024<\/a>), <span style=\"color: #000000;\">the taxation rules for Diia City startup residents have been refined to support growth.<\/span><\/p>\n<\/div>\n<p data-path-to-node=\"3\"><span style=\"color: #000000;\">The preferential 5% Personal Income Tax (PIT) rate is permitted under the condition that the Company&#8217;s average number of employees and GIG-specialists is fewer than 9 persons, provided they fulfill the requirement regarding the average monthly remuneration of \u20ac1,200.<\/span><\/p>\n<p data-path-to-node=\"4\"><span style=\"color: #000000;\">Timeline of Eligibility: The right to apply this preferential rate arises starting from the next calendar month following the month in which the company officially acquired its resident status.<\/span><\/p>\n<div style=\"background-color: #f4f4f4; border-left: 5px solid #246a9d; padding: 15px; margin: 20px 0;\">\n<p><span style=\"color: #000000;\"><strong>Unified Social Contribution (USC) for Startups<\/strong><\/span><br \/>\n<span style=\"color: #000000;\">Effective January 1, 2025 (pursuant to paragraph 4, Article 8 of the Law of Ukraine &#8220;On the Collection and Accounting of the Unified Contribution to the Compulsory State Social Insurance&#8221;), a special rule applies to startups:<\/span><\/p>\n<p><span style=\"color: #000000;\">Until December 31 of the calendar year following the year in which the startup acquired its Diia City resident status, the company shall calculate the USC at the minimum insurance rate (22% of the minimum wage). This benefit applies even if the startup does not meet the requirement regarding the average number of employees and GIG-specialists.<\/span><\/p>\n<\/div>\n<p data-path-to-node=\"2\"><span style=\"color: #000000;\">When the allotted period has expired, and the Diia City resident still does not meet the requirement regarding the average number of employees and GIG-specialists, the company must independently recalculate and pay the Unified Social Contribution (USC) at a rate of 22% (8.41% for persons with disabilities).<\/span><\/p>\n<p data-path-to-node=\"3\"><span style=\"color: #000000;\">The USC calculation base consists of the income of Diia City resident specialists paid during the months when the tax agent failed to meet the aforementioned requirement, but within the last three months of the calendar year following the year in which the company acquired its Diia City resident status. The amount of USC to be additionally paid by the startup must be reduced by the amount of the minimum insurance contribution previously paid for such reporting periods.<\/span><\/p>\n<div style=\"border: 2px solid #246a9d; padding: 25px; margin: 30px 0; background-color: #fff;\">\n<p data-path-to-node=\"2\"><span style=\"color: #000000;\"><strong>Military Tax<\/strong> is calculated and withheld from the salaries of employees and the remuneration of GIG-specialists in accordance with general procedures. Starting December 1, 2024, the military tax rate for employees and GIG-specialists of Diia City residents is 5%.<\/span><\/p>\n<p data-path-to-node=\"3\"><span style=\"color: #000000;\"><strong>Corporate Income Tax or Distributed Profit Tax (DPT)<\/strong>. A startup may choose to remain a taxpayer on general grounds (Corporate Income Tax at 18%) or switch to the Distributed Profit Tax (DPT) system at a rate of 9%.<\/span><\/p>\n<p data-path-to-node=\"4\"><span style=\"color: #000000;\"><strong>VAT.<\/strong> Registration as a VAT taxpayer can be either voluntary or mandatory. A Diia City resident startup must pay VAT if its total income over the last 12 calendar months exceeds UAH 1,000,000 (excluding VAT). At the same time, Diia City residents are exempt from VAT regarding the supply of certain types of IT educational services, as listed in Clause <a style=\"color: #000000;\" href=\"https:\/\/zakon.rada.gov.ua\/laws\/show\/2755-17#n4722:~:text=197.1.33.%20%D0%BF%D0%BE%D1%81%D1%82%D0%B0%D1%87%D0%B0%D0%BD%D0%BD%D1%8F%20%D1%80%D0%B5%D0%B7%D0%B8%D0%B4%D0%B5%D0%BD%D1%82%D0%B0%D0%BC%D0%B8,%D0%BF%D1%96%D0%B4%D1%82%D1%80%D0%B8%D0%BC%D0%BA%D0%B8%20%D0%BF%D1%80%D0%BE%D0%B3%D1%80%D0%B0%D0%BC%\" target=\"_blank\" rel=\"noopener\">197.1.33<\/a> of the Tax Code of Ukraine.<\/span><\/p>\n<\/div>\n<h2 id=\"reporting\" style=\"color: #246a9d; border-bottom: 2px solid #246a9d; padding-bottom: 10px; margin-top: 40px;\">Reporting Under the Diia City Law<\/h2>\n<p><span style=\"color: #000000;\">Diia City resident startups are required to submit regular reporting to confirm their ongoing compliance with the legal requirements:<\/span><\/p>\n<blockquote style=\"background-color: #fff; border-left: 5px solid #246a9d; padding: 7px; margin: 15px 0; border-radius: 4px;\">\n<h3><span style=\"color: #000000;\">Initial Compliance Report:<\/span><\/h3>\n<\/blockquote>\n<p><span style=\"color: #000000;\">The report must be submitted no later than the last day of the sixth calendar month following the month in which the Diia City resident status was acquired. This report confirms compliance with all requirements set out in <a style=\"color: #000000;\" href=\"https:\/\/zakon.rada.gov.ua\/laws\/show\/1667-20#n51\" target=\"_blank\" rel=\"noopener\">Clauses 1, 4,<\/a> and 5 of Part 1 and Clause 3 of Part 3 of Article 5 of Law No. 1667-IX, based on the results of three full calendar months following the month of residency acquisition.<\/span><\/p>\n<p><span style=\"color: #000000;\">For startups, Law No. 1667-IX does not require an independent auditor\u2019s report to be attached to the initial compliance report (this is only necessary upon a specific request from the authorized body, the Ministry of Digital Transformation).<\/span><\/p>\n<blockquote style=\"background-color: #fff; border-left: 5px solid #246a9d; padding: 7px; margin: 15px 0; border-radius: 4px;\">\n<h3><span style=\"color: #000000;\">Annual Compliance Report:<\/span><\/h3>\n<\/blockquote>\n<p data-path-to-node=\"3\"><span style=\"color: #000000;\">An annual compliance report confirming adherence to the requirements set forth in Article 5 of Law No. 1667-IX must be submitted to the authorized body every year, no later than <strong>June 1st<\/strong> of the year following the reporting year.
